1. Agreement to These Terms
These Terms of Service (“Terms”) govern your access to and use of ProblemBase, operated by Why Enterprises LLC (“Company,” “we,” “us,” or “our”).
ProblemBase is an online platform intended to help individuals and businesses share real-world problems, discover common challenges, express interest in solving them, connect with other users, and explore potential business, software, AI, automation, and other solutions.
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you use ProblemBase on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and Accounts
You must be legally capable of entering into a binding agreement to use the Service. If you are under the age of majority where you live, you may use the Service only with any legally required parental or guardian involvement and authorization.
You agree to:
- Provide accurate account information.
- Keep your login credentials secure.
- Maintain accurate and current profile information.
- Notify us promptly if you suspect unauthorized account access.
- Use only accounts you are authorized to operate.
- Take responsibility for activity conducted through your account, subject to applicable law.
You may not impersonate another person or business, create accounts for deceptive purposes, or misrepresent your identity, qualifications, affiliations, or authority.
We may require verification, restrict features, or suspend accounts where reasonably necessary for security, fraud prevention, or enforcement of these Terms.
3. What ProblemBase Does
ProblemBase provides tools for sharing and discovering problems, expressing interest in problems experienced by others, discussing potential solutions, and requesting connections with other users.
The Service may include public problem posts, comments, solution suggestions, profiles, connection requests, private messaging, credits, paid memberships, and other features.
Features may change over time. We do not guarantee that every feature will always be available or that any particular user, problem, connection, or solution will remain accessible.
ProblemBase is a platform for discovery and connection, not a guarantee of business results. We do not guarantee that a problem is genuine, that demand exists, that another user will respond, that a proposed solution will work, or that a business opportunity will be profitable.
4. Acceptable Use and Prohibited Conduct
You agree to use ProblemBase lawfully, honestly, professionally, and respectfully.
You may not use the Service to:
- Post false, misleading, fabricated, or deceptive information intended to defraud or manipulate other users.
- Harass, threaten, intimidate, stalk, bully, or abuse another person.
- Engage in racism, racial harassment, hate speech, or discrimination based on protected characteristics.
- Promote violence, hateful conduct, or unlawful discrimination.
- Send sexually explicit, sexually harassing, or otherwise inappropriate messages or material, especially when unsolicited.
- Send spam, mass unsolicited connection requests, repetitive promotional messages, or irrelevant advertising.
- Engage in phishing, scams, impersonation, fraud, extortion, or deceptive business practices.
- Distribute malware, malicious links, or harmful code.
- Collect or misuse personal information without an appropriate legal basis or authorization.
- Infringe copyrights, trademarks, patents, trade secrets, privacy rights, or other legal rights.
- Post content that you do not have the right to share.
- Attempt to bypass platform limits, manipulate credits, exploit payment flows, or gain unauthorized access.
- Scrape, harvest, copy, or systematically extract user information or platform data without our written authorization, except where applicable law prohibits such restrictions.
- Interfere with the security, availability, or normal operation of the Service.
- Use the Service for illegal activities or to facilitate wrongdoing.
We may remove content, limit messaging, restrict connections, suspend accounts, or take other reasonable action in response to violations.
5. Business-Related Communication Policy
All connection requests and communications initiated through ProblemBase must be business-related, relevant, and respectful.
The platform is intended for discussions about real-world problems, business needs, potential customers, professional collaboration, product development, software, AI, automation, research, and possible solutions.
When contacting another user, you must:
- Explain the business purpose of your message.
- Keep your message relevant to the problem, solution, or opportunity being discussed.
- Be truthful about your identity, business, capabilities, and intentions.
- Respect the recipient's time, privacy, boundaries, and decision not to engage.
- Avoid repeated contact after a recipient declines, blocks you, or asks you to stop.
- Avoid misleading claims, guaranteed outcomes, fake testimonials, or deceptive sales tactics.
You may not use ProblemBase for personal dating, romantic solicitation, sexual advances, unrelated personal conversations, harassment, discriminatory communications, or other non-business purposes that are inconsistent with the platform's intended use.
Racist, hateful, discriminatory, threatening, harassing, sexually abusive, or otherwise abusive communications are prohibited. We may remove such communications and restrict or terminate the accounts responsible.
We reserve the right to determine whether communications violate these Terms, taking account of the circumstances and applicable law.
6. Connection Requests and Credits
ProblemBase may use credits or other limits for certain features, including requests to connect with other users.
If credits are offered:
- The applicable credit cost will be displayed or described when reasonably practicable.
- Credits may be subject to expiration, usage restrictions, plan limits, and anti-abuse controls disclosed in the Service.
- Credits are not money, have no cash value, and are not redeemable for cash unless required by law.
- Credits may not be sold, transferred, or exchanged outside the Service without our authorization.
- We may correct credit balances affected by errors, fraud, chargebacks, or unauthorized activity.
- We may restrict credit use when reasonably necessary to prevent abuse or protect the Service.
Unless a feature expressly states otherwise, the person sending a connection request is responsible for any credits required to send it. A recipient is not charged merely for receiving a request.
We may adjust credit costs or credit allocations prospectively. We will not make changes in a manner that violates applicable law or an express contractual commitment.
7. Memberships, Subscriptions, and Payments
ProblemBase may offer free access, paid subscriptions, annual memberships, lifetime memberships, or other paid features.
Before purchasing, you are responsible for reviewing the displayed price, billing interval, included features, renewal terms, credit allocation, and any applicable restrictions.
A. Subscriptions
If a subscription renews automatically, the checkout process will disclose the applicable renewal terms. You authorize the applicable payment provider to charge the disclosed fees according to those terms until cancellation.
You may cancel through the available account or billing controls, or by contacting us where cancellation through those controls is unavailable. Cancellation generally prevents future renewal; it does not necessarily provide a refund for a billing period already paid.
B. Lifetime Memberships
If a lifetime membership is offered, “lifetime” means access for the duration and under the conditions stated in the offer and these Terms. It does not mean that every feature, third-party integration, or the entire Service is guaranteed to operate forever.
Lifetime memberships remain subject to these Terms, fair-use requirements, lawful account restrictions, and any expressly disclosed limitations applicable at purchase. We will not use this provision to disregard applicable consumer-protection law or an express lifetime-access commitment.
C. Refunds
Unless a refund policy is displayed at checkout or otherwise agreed in writing, payments are generally non-refundable to the extent permitted by law, except where a refund is required by law or the payment provider's applicable rules.
Nothing in these Terms limits non-waivable statutory cancellation, refund, or consumer rights.
D. Payment Processing
Payments may be processed by third-party providers. Their terms and privacy policies may also apply. We are not responsible for disruptions caused by a third-party payment provider, except to the extent responsibility cannot lawfully be excluded.
8. User Content and Intellectual Property
You retain ownership of the content you create and submit, subject to rights you grant under these Terms.
By submitting content to ProblemBase, you grant Why Enterprises LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, format, and process that content as reasonably necessary to operate, maintain, promote, secure, and improve the Service.
This license includes displaying public content to other users and enabling features such as search, sharing, comments, and problem discovery. It lasts for as long as necessary for those purposes, subject to your settings, deletion requests, applicable law, and legitimate retention needs.
You represent that you have the rights and permissions necessary to submit your content and grant this license.
You must not post another person's confidential information, personal information, copyrighted work, or trade secrets without appropriate authorization.
You are responsible for your content and the consequences of sharing it. We do not endorse or guarantee the accuracy, quality, legality, or usefulness of user-submitted content.
Public Ideas and Confidential Information
ProblemBase is designed to facilitate discovery and discussion. Content you post publicly may be viewed, copied, discussed, or used by other people.
Do not publish confidential business information, trade secrets, unpublished inventions, sensitive customer data, or proprietary materials unless you are authorized to disclose them and accept the associated risks.
ProblemBase does not automatically create a confidential relationship, non-disclosure obligation, employment relationship, partnership, or agency relationship between users.
If you need confidentiality, consider establishing a separate written agreement with the other party before disclosing sensitive information.
9. Third-Party Relationships and Marketplace Disclaimer
ProblemBase may connect people with businesses, developers, consultants, agencies, founders, prospective customers, or other users.
Unless we expressly state otherwise, we do not employ, represent, endorse, or independently verify every user or business listed on the Service.
We are not a party to agreements, purchases, services, investments, partnerships, employment arrangements, or other transactions entered into directly between users.
You are responsible for evaluating other users, checking qualifications and claims, negotiating terms, protecting your information, and conducting appropriate due diligence before entering into an agreement.
We do not guarantee:
- The identity, reliability, qualifications, or honesty of another user.
- The validity or market demand of a posted problem.
- The quality, safety, legality, or effectiveness of a proposed solution.
- That another user will reply, accept a connection, or fulfill a promise.
- That a connection will lead to revenue, customers, employment, investment, or a successful product.
- The outcome of any transaction or business relationship between users.
Use reasonable judgment and take appropriate precautions before sharing sensitive information, paying another user, or relying on claims made through the Service.
10. Moderation, Reports, and Enforcement
We may, but are not obligated to, review, monitor, remove, restrict, or investigate user content and communications to enforce these Terms, protect users, maintain platform integrity, or comply with law.
We may take action when we reasonably believe a user has violated these Terms or poses a security, legal, or safety risk. Actions may include:
- Removing or limiting access to content.
- Warning a user.
- Restricting connection requests or messaging.
- Suspending or terminating an account.
- Reversing improperly obtained credits or benefits.
- Preserving or disclosing information when legally permitted or required.
We do not guarantee that all harmful content will be identified or removed. You should not rely on ProblemBase as a substitute for your own due diligence or safety precautions.
To report abuse, spam, fraud, discriminatory conduct, or other violations, contact contact@awebuilt.com or use the reporting tools available in the Service.
11. Copyright Complaints
If you believe content on ProblemBase infringes your copyright, contact contact@awebuilt.com with sufficient information to identify the work, the allegedly infringing material, your contact details, and the basis for your complaint.
If we are subject to the applicable requirements of the U.S. Digital Millennium Copyright Act (DMCA), we will process qualifying notices and counter-notices in accordance with the law.
Do not knowingly submit false or misleading infringement claims.
If required for DMCA safe-harbor eligibility, the Company should separately designate and register an appropriate copyright agent and publish the required contact information.
12. Account Suspension and Termination
You may stop using the Service and request account deletion through available account controls or by contacting contact@awebuilt.com.
We may suspend, restrict, or terminate access when reasonably necessary to enforce these Terms, investigate suspected fraud or abuse, protect users or the Service, address legal requirements, or respond to a material risk.
Where reasonably practicable and appropriate, we may provide notice or an opportunity to address a violation. We may act without advance notice where necessary to protect users, preserve security, prevent fraud, or comply with law.
Upon termination, your right to use affected features ends. Certain provisions, including those concerning intellectual property licenses, disclaimers, liability, indemnification, and disputes, may continue to apply as permitted by law.
Account deletion does not necessarily erase content previously copied or shared by other users or information we must retain legally.
13. Service Availability and Changes
We aim to operate a reliable Service but do not guarantee uninterrupted, error-free, or continuous availability.
We may change, suspend, or discontinue features, modify technical requirements, perform maintenance, or impose reasonable usage limits.
Where we have made a specific contractual commitment concerning paid access, we will honor that commitment or address the change as required by the agreement and applicable law.
14. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis.
Why Enterprises LLC disclaims implied warranties to the extent legally permitted, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will meet every user's requirements, remain available without interruption, be free of errors, or produce any particular business result.
Nothing in these Terms excludes a warranty or right that applicable law does not allow us to exclude.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Why Enterprises LLC and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or related to the Service.
To the maximum extent permitted by law, the Company's total liability for claims arising from or related to the Service will not exceed the greater of:
- The total amount you paid directly to the Company for the Service during the 12 months immediately preceding the event giving rise to the claim; or
- US$100.
This limitation applies only to the extent permitted by law and does not limit liability that cannot legally be limited, including any applicable non-waivable statutory rights or liabilities for which exclusion is prohibited.
Some jurisdictions do not allow certain exclusions or limitations, so some portions of this section may not apply to you.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Why Enterprises LLC and its owners, employees, and agents from third-party claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the Service, your material violation of these Terms, your content, or your infringement of another person's rights.
This provision does not require you to indemnify the Company for the Company's own conduct to the extent applicable law prohibits such a requirement.
We reserve the right to control the defense of a claim for which indemnification is sought, and you agree to reasonably cooperate in that defense.
17. Disputes and Governing Law
Before filing a legal claim, we encourage you to contact us at contact@awebuilt.com to attempt to resolve the issue informally.
These Terms are governed by the laws of the state in which Why Enterprises LLC is organized, excluding its conflict-of-law rules, except where applicable law requires otherwise.
Subject to applicable law, disputes will be brought in the state or federal courts located in the county and state where Why Enterprises LLC has its principal place of business, and the parties consent to the jurisdiction of those courts.
18. Changes to These Terms
We may update these Terms from time to time. We will update the effective date and provide notice of material changes where required by law.
Your continued use of the Service after revised Terms become effective constitutes acceptance only to the extent permitted by applicable law. If you do not agree to updated Terms, you must stop using the affected Service.
19. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Our failure to enforce a provision is not a waiver of our right to enforce it later.
You may not assign your rights or obligations under these Terms without our consent, except where applicable law provides otherwise. We may assign these Terms as part of a merger, acquisition, reorganization, or transfer of the Service, subject to applicable law.
These Terms and the Privacy Policy, together with any additional terms presented for particular features or purchases, form the agreement governing your use of the Service.
